Minimum Age

You must be at least eighteen (18) years old, or the minimum age required to lawfully use digital services in your jurisdiction, whichever is higher.

Account Information

To access certain features of the Services, you will be required to create an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep your information current.

You are solely responsible for:

• maintaining the confidentiality of your account credentials;
• all activities conducted through your account; and
• promptly notifying ToolAI of any unauthorized access or security breach involving your account.

ToolAI reserves the right to suspend or terminate accounts containing false, misleading, or incomplete information.

Organizational Accounts

If you register using an email address associated with an employer, institution, or organization, your account may be linked to the organization's enterprise account. In such cases, authorized administrators of that organization may have access to your account information and usage data.

You agree to use the Services only in compliance with these Terms, applicable laws, and all policies published by ToolAI.

You must not use the Services to:

• violate any applicable law or regulation;
• infringe intellectual property, privacy, or other legal rights;
• generate, distribute, or promote unlawful, harmful, fraudulent, abusive, or deceptive content;
• develop competing AI systems or machine learning models using the Services or Outputs;
• reverse engineer, decompile, disassemble, or otherwise attempt to extract source code or underlying models;
• scrape, harvest, or systematically collect data from the Services without authorization;
• interfere with, disrupt, or compromise the integrity, performance, or security of the Services;
• distribute malware, viruses, spam, or malicious code;
• impersonate another person or misrepresent affiliation with any entity;
• use automated tools, bots, or scripts to access the Services except where expressly permitted by ToolAI; or
• use Outputs as the sole basis for financial, medical, legal, investment, or other professional decisions without independent verification.

ToolAI may suspend or terminate access to users who violate these Terms or misuse the Services.

Inputs and Outputs

You may provide prompts, data, files, messages, or other materials to the Services (“Inputs”). The Services may generate responses, recommendations, code, images, text, or other content (“Outputs”).

Inputs and Outputs together are referred to as “Materials.”

Your Responsibilities

You are solely responsible for:

• the legality and accuracy of your Inputs;
• ensuring that you have the rights and permissions necessary to submit Inputs; and
• your reliance on Outputs generated by the Services.

Ownership

Subject to your compliance with these Terms:

• you retain ownership rights in your Inputs; and
• ToolAI assigns to you any rights it may have in Outputs generated specifically for you.

However, due to the nature of artificial intelligence, Outputs may not be unique and similar outputs may be generated for other users.

AI Limitations

You acknowledge that:

• Outputs may contain inaccuracies, errors, omissions, or outdated information;
• AI-generated content may not always be reliable or appropriate for your intended use;
• ToolAI does not guarantee the accuracy, completeness, legality, or suitability of Outputs; and
• you should independently review and verify Outputs before relying on them.

ToolAI may use Inputs, Outputs, and related usage data to:

• provide and maintain the Services;
• improve system performance and safety;
• develop new features and technologies;
• detect abuse, fraud, or harmful activity; and
• conduct research and model training, unless prohibited by applicable law or unless you opt out where such option is made available.

We may also review Materials for security, moderation, compliance, and safety purposes.

The Services may contain links to or integrations with third-party websites, applications, or services.

ToolAI does not control and is not responsible for:

• third-party content;
• third-party privacy practices;
• external integrations; or
• any damages or losses arising from your use of third-party services.

Your use of third-party services is subject to their respective terms and policies.

The Services, including all software, models, algorithms, designs, trademarks, logos, interfaces, and content provided by ToolAI, are owned by or licensed to ToolAI and protected by intellectual property laws.

Except as expressly permitted under these Terms, you may not:

• copy, reproduce, distribute, modify, or create derivative works from the Services;
• use ToolAI branding without written permission; or
• exploit the Services for unauthorized commercial purposes.

ToolAI continuously updates and improves the Services. Accordingly, we reserve the right to:

• add, remove, or modify features;
• impose usage limits;
• suspend or discontinue portions of the Services; or
• restrict access to certain regions or users.

We do not guarantee uninterrupted or error-free availability of the Services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TOOLAI DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY;
• RELIABILITY;
• FINANCIAL ADVICE;
• SECURITY; AND
• AVAILABILITY.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLAI AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, PARTNERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

• YOUR USE OF THE SERVICES;
• ANY OUTPUTS OR MATERIALS;
• SERVICE INTERRUPTIONS;
• LOSS OF DATA;
• SECURITY BREACHES; OR
• THIRD-PARTY SERVICES.

IN NO EVENT SHALL TOOLAI'S TOTAL LIABILITY EXCEED THE GREATER OF:

• THE AMOUNT PAID BY YOU TO TOOLAI IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR
• ONE HUNDRED UNITED STATES DOLLARS (USD $100).

You agree to indemnify, defend, and hold harmless ToolAI and its affiliates, officers, employees, and partners from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

• your use of the Services;
• your Inputs or Outputs;
• your violation of these Terms;
• your violation of applicable law; or
• infringement of third-party rights.

ToolAI may suspend or terminate your access to the Services at any time if:

• you violate these Terms;
• your use poses security or legal risks;
• required by law; or
• necessary to protect the Services, users, or third parties.

You may stop using the Services at any time.

Upon termination, your right to access the Services will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Nigeria.

ToolAI may update or revise these Terms from time to time. Updated Terms become effective upon posting on our website or notifying users through the Services.

Your continued use of the Services after updates constitutes acceptance of the revised Terms.
